How should you pay yourself from your agency? It is the single most common question we get from new clients, and the one where getting it wrong costs the most money.

Founders take too much salary, pay too much tax, miss pension opportunities, and leave money on the table that could be in their own pockets or their family's future.

Why the Salary-Dividend Split Exists for Agency Founders
A limited company is a separate legal entity. You are both a director and a shareholder. That gives you two distinct ways to extract value: salary (as an employee) and dividends (as a shareholder).
The reason the split matters is simple: salary and dividends are taxed differently. Salary is subject to income tax, employee NI, and employer NI. Dividends are subject to dividend tax at lower rates, and no NI at all. But dividends can only be paid from post-tax profits, the company must have distributable reserves.
For most agency founders, the optimal strategy is to take a small salary and the rest as dividends. That is the standard advice. But the details matter enormously. Get the salary wrong and you lose personal allowance. Get the dividend timing wrong and you push yourself into a higher tax band unnecessarily. Ignore your pension and you miss the most powerful tax shelter available to a limited company director.
Let us look at the numbers for a typical agency founder in 2025/26.
The Optimal Salary for 2025/26
The Primary Threshold Strategy
Your salary should be set at the point where you stop paying NI but still build up qualifying years for your state pension. That figure for 2025/26 is £12,570 per year, the same as the personal allowance and the primary threshold for NI.
Take a salary of £12,570 and you pay no income tax (it is covered by your personal allowance) and no employee NI (it is at the primary threshold). Your company pays no employer NI because £12,570 is below the secondary threshold of £9,100 per year? No. Wait. Let us be precise.
The secondary threshold for employer NI in 2025/26 is £9,100 per year. So on a salary of £12,570, the company pays 13.8% employer NI on the excess over £9,100: £3,470 × 13.8% = £478.86. That is a cost. But it is still the most efficient salary level because you preserve your full personal allowance and avoid employee NI.
Some accountants recommend taking a salary of £9,100 to avoid employer NI entirely. That saves £478.86 in employer NI but costs you £3,470 of unused personal allowance. For most agency founders, the £12,570 figure is better because you can use the full personal allowance against dividend income instead.
The Employment Allowance Angle
If you have at least one other employee (not a director), your agency may qualify for the Employment Allowance. This lets you reduce your employer NI by up to £5,000 per year. If you qualify, you can take a salary up to the personal allowance with zero employer NI cost. That makes the £12,570 salary even more attractive.
Check whether you have a non-director employee. Many agencies with a small team qualify. The allowance is claimed on your RTI submissions through your payroll software.
How to Set Up the Salary
You need to run payroll. Most agency founders use Xero, QuickBooks, FreeAgent, or Sage, all have payroll modules. Alternatively, use BrightPay for standalone payroll. You submit RTI returns to HMRC each month or quarter. You issue a P60 at year end. You file a P11D(b) if you provide benefits.
The salary should be set as an annual amount, paid monthly or quarterly. Many founders pay it monthly to keep the company's PAYE scheme active and avoid penalties for late RTI submissions.

Dividends: The Primary Extraction Method
How Dividend Tax Works in 2025/26
Dividends are paid from post-tax profits. The company pays corporation tax on its profits, then distributes the remainder as dividends. You as the shareholder pay dividend tax on the amount you receive above the dividend allowance.
The dividend allowance for 2025/26 is £500. That is down from £5,000 in 2017/18 and £1,000 in 2023/24. The Treasury has been steadily reducing it. For most agency founders, the allowance is now negligible, it covers about two cups of coffee a month in dividend income.
Above the allowance, dividend tax rates are:
- Basic rate taxpayers (income up to £50,270): 8.75%
- Higher rate taxpayers (income £50,271 to £125,140): 33.75%
- Additional rate taxpayers (income above £125,140): 39.35%
The key point: dividend tax rates are lower than income tax rates at every band. But the gap has narrowed. A higher rate taxpayer pays 33.75% on dividends versus 40% on employment income. An additional rate taxpayer pays 39.35% versus 45%. The saving is real but not enormous.
The £50,270 Trap
The most common mistake we see is the £50,270 trap. An agency founder takes a salary of £12,570 and dividends of £37,700, giving total income of £50,270. That is exactly the basic rate band. They pay 8.75% on the dividends above the £500 allowance: £37,200 × 8.75% = £3,255.
That looks efficient. And it is, up to a point. But the problem is that any additional dividend income above £50,270 is taxed at 33.75%. The jump from 8.75% to 33.75% is a 25 percentage point cliff. Many founders accidentally tip over it by declaring a single large dividend late in the year without checking their total income.
The solution: plan your dividend declarations carefully. Use your accounting software or a tool like Float or Spotlight Reporting to model your total income before you declare. Leave a buffer. If you want to extract more than £37,700 in dividends, consider using a pension contribution to keep yourself in the basic rate band.
Dividend Declaration and Paperwork
Dividends must be formally declared. You need a board meeting (even if you are the only director) and minutes. You issue a dividend voucher to yourself. The voucher should show the company name, your name, the date, the dividend amount per share, and the total amount. Keep these in your company records. HMRC can ask to see them.
You report dividend income on your self-assessment tax return (SA100). The dividend tax is calculated as part of your overall tax liability and paid through your usual payment on account schedule.
Worked Example: Sarah's Digital Agency
Sarah runs a digital agency in Bristol Harbourside. She is the sole director and shareholder. Her agency makes a profit of £120,000 in the 2025/26 tax year after all expenses except her own pay and corporation tax.
Option A: Maximum salary, then dividends
Sarah takes a salary of £12,570. The company pays employer NI of £478.86. Corporation tax is payable on the remaining profit.
Profit after salary and employer NI: £120,000 - £12,570 - £478.86 = £106,951.14
Corporation tax at 19% (small profits rate, assuming profits are within the £50k-£250k marginal relief band): £106,951.14 × 19% = £20,320.72
Post-tax profit available for dividends: £106,951.14 - £20,320.72 = £86,630.42
Sarah takes all of this as a dividend. Her total income is £12,570 + £86,630.42 = £99,200.42.
Dividend tax calculation: £500 allowance, then £37,200 at 8.75% (£3,255), then £48,930.42 at 33.75% (£16,514.02). Total dividend tax: £19,769.02.
Sarah's net take-home: £99,200.42 - £19,769.02 = £79,431.40.
Total tax paid (corporation tax + employer NI + dividend tax): £20,320.72 + £478.86 + £19,769.02 = £40,568.60.
Option B: Salary plus pension contribution
Sarah takes the same £12,570 salary. But she also makes a company pension contribution of £40,000 into her SIPP.
Profit after salary, employer NI, and pension: £120,000 - £12,570 - £478.86 - £40,000 = £66,951.14
Corporation tax at 19%: £66,951.14 × 19% = £12,720.72
Post-tax profit available for dividends: £66,951.14 - £12,720.72 = £54,230.42
Sarah takes £37,700 as a dividend (keeping her total income at £50,270). She leaves the remaining £16,530.42 in the company as retained profits.
Dividend tax: £37,200 × 8.75% = £3,255.
Sarah's net take-home: £12,570 + £37,700 - £3,255 = £47,015. Plus she has £40,000 in her pension.
Total tax paid: £12,720.72 + £478.86 + £3,255 = £16,454.58.
The comparison is stark. In Option A, Sarah pays £40,568.60 in tax and takes home £79,431.40. In Option B, she pays £16,454.58 in tax, takes home £47,015, and has £40,000 in her pension. The total value to her (take-home plus pension) is £87,015, higher than Option A's £79,431.40, and the tax paid is £24,114 less.
The pension contribution saves corporation tax at 19% on the £40,000 (£7,600 saved) and keeps Sarah in the basic rate band for dividend tax, saving £16,514.02 in higher rate dividend tax. That is a total saving of £24,114.02.
Pension Contributions: The Most Powerful Tax Shelter
Company Contributions vs Personal Contributions
As an agency founder, you can make pension contributions in two ways: personally (from your net income) or through your company (as an employer contribution). Company contributions are almost always better.
When your company makes a pension contribution directly to your SIPP or workplace pension, it is treated as an allowable business expense. It reduces your corporation tax bill. You pay no income tax or NI on the contribution. The pension provider claims basic rate tax relief at source, but for a company contribution, the relief is effectively automatic because the contribution is deducted from profits before tax.
Personal contributions, by contrast, come from your net income. You have already paid tax on that income. You then claim tax relief through your self-assessment return. It works, but it is less efficient because you have paid tax first.
The Annual Allowance and Tapering
The standard annual allowance for pension contributions in 2025/26 is £60,000. You can carry forward unused allowance from the previous three tax years. For most agency founders, the annual allowance is not a constraint, £60,000 per year is more than enough.
But if your adjusted income (including employer pension contributions) exceeds £260,000, the annual allowance tapers. It reduces by £1 for every £2 of income above £260,000, down to a minimum of £10,000. This affects founders of larger agencies with significant retained profits.
If you are close to the taper threshold, speak to us before making a large contribution. The rules are complex and the penalty for exceeding the tapered allowance is a tax charge at your marginal rate.
Lifetime Allowance, Abolished
The lifetime allowance was abolished from April 2024. There is no longer a cap on the total amount you can hold in pensions without incurring a tax charge. That removes one of the main objections to aggressive pension funding for agency founders.
Spouse Shareholdings: Tax Planning Through Income Splitting
How Spouse Shares Work
If your spouse or civil partner is a shareholder in your agency, they can receive dividends in their own right. Their dividend income is taxed at their marginal rates, not yours. If they have unused personal allowance or basic rate band, the tax saving can be substantial.
For example, if your spouse has no other income, they can receive £12,570 in dividends tax-free (covered by their personal allowance) and a further £500 tax-free (dividend allowance), then £37,200 at 8.75%. That is total dividend income of £50,270 with a tax bill of just £3,255, compared to the same income in your hands costing £19,769.02.
The saving: £16,514.02 per year. That is real money.
The Settlements Legislation Risk
HMRC has a weapon called the settlements legislation (ITTOIA 2005, Part 5, Chapter 5). It is designed to prevent income shifting where one person transfers assets to another to avoid tax. In the context of spouse shares, HMRC can argue that dividends paid on shares given to a spouse are really the income of the original shareholder if the shares carry no real rights or the spouse does no work.
The key defence: your spouse must be a genuine shareholder with real rights. They should have voting rights, a right to dividends, and a right to capital on a winding up. If they also work in the business (even part-time), that strengthens the position enormously.
Many agency founders give their spouse a minority shareholding, typically 49% or less. That is common and generally accepted by HMRC as long as the spouse is not a mere nominee. We recommend documenting the share issue properly, with board minutes and a share certificate.
Practical Steps for Spouse Shareholding
- Issue new shares to your spouse (or transfer existing shares).
- Update the company's register of members.
- File a confirmation statement with Companies House showing the new shareholding.
- Ensure your spouse has voting rights and receives dividend vouchers.
- If your spouse works in the business, pay them a market-rate salary for their role.

Director's Loan Account: What Happens When You Take Too Much
The S455 Charge
If you take more from the company than you are entitled to, for example, by drawing dividends before they are formally declared, or by taking a director's loan that is not repaid, you create a director's loan account balance. If that balance exceeds £10,000 at any point in the company's accounting period, and it is not repaid within 9 months of the year end, the company pays S455 tax at 33.75% on the overdrawn amount.
This is a punitive rate. It is designed to discourage directors from using the company as a personal bank account. The tax is refundable when the loan is repaid, but the process is slow and the cashflow impact is painful.
How to Avoid It
The simplest way to avoid an overdrawn director's loan account is to formalise every payment you take. Declare dividends properly. Run payroll for your salary. If you need to borrow from the company, document it as a loan with a proper agreement and a repayment schedule. Keep the balance below £10,000 if possible.
If you do have an overdrawn loan account, the best solution is often to declare a dividend to clear it. But you can only do that if the company has sufficient distributable reserves. Check your retained earnings before you try.
Corporation Tax Planning: The Interaction with Your Pay
The Marginal Relief Trap
Corporation tax rates for 2025/26 are 19% for profits up to £50,000, 25% for profits above £250,000, and marginal relief for profits between £50,000 and £250,000. The effective marginal rate in the marginal relief band is 26.5%.
This matters for your pay strategy because your salary and pension contributions reduce your company's profit. If your agency is in the marginal relief band, every £1 of salary or pension saves you 26.5% in corporation tax, not just 19% or 25%. That makes pension contributions even more valuable if your profits are in that range.
Retained Profits vs Extraction
Not every pound of profit needs to come out of the company. Retained profits can be used to fund growth, hiring, equipment, office space, marketing. Many agency founders make the mistake of extracting every available penny, leaving the company cash-poor and unable to invest.
A better approach: model your cash needs for the next 12 months. Keep enough retained profit in the company to fund your growth plans. Extract the rest. Use pension contributions to reduce the tax on the extraction.
IR35 and Your Pay Strategy
How IR35 Affects Director Pay
If your agency engages contractors who are caught by IR35, you have a deemed employment payment to handle. But as a director and shareholder of your own agency, IR35 does not directly affect your pay strategy, you are not a contractor to your own company.
However, if your agency has contractors who are inside IR35, their deemed employment payments increase your company's payroll costs and reduce your profit. That changes the amount available for your own salary and dividends. It also means you need to manage your PAYE scheme carefully, with proper RTI submissions and a P32 for monthly payments.

Action Checklist: Paying Yourself in 2025/26
- Set your salary at £12,570, or £9,100 if you want to avoid employer NI entirely (but the £12,570 figure is usually better).
- Run payroll monthly, submit RTI returns on time. Use Xero, QuickBooks, FreeAgent, Sage, or BrightPay.
- Check your Employment Allowance, if you have a non-director employee, claim it and save up to £5,000 in employer NI.
- Plan your dividends, keep your total income (salary plus dividends) below £50,270 to avoid the 33.75% dividend tax rate.
- Use company pension contributions, contribute up to £60,000 per year (or more with carry forward) to reduce corporation tax and keep yourself in the basic rate band.
- Consider spouse shares, if your spouse has unused personal allowance or basic rate band, issue them shares and pay dividends to them.
- Document everything, board minutes for dividends, share certificates for spouse shares, pension contribution letters from the company.
- Monitor your director's loan account, keep it below £10,000 or repay any overdrawn balance within 9 months of the year end.
- Review your retained profits, keep enough in the company for growth, extract the rest efficiently.
- File your self-assessment return on time, report salary on the employment pages, dividends on the dividend pages. Use SA100. File by 31 January after the tax year end.
